TERMS OF SERVICE
The rules and agreements that govern your use of Sediya Labs services.
1. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. These terms apply to all visitors, clients, and others who access or use our services.
2. Services
Sediya Labs provides custom software development, AI and machine learning solutions, blockchain development, IoT systems, web and mobile development, and related consultancy services. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate Statement of Work or project agreement signed by both parties.
3. Intellectual Property
Upon full payment of all agreed fees, intellectual property rights in custom-developed work product will transfer to the client as specified in the project agreement. Sediya Labs retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in the delivery of services unless otherwise agreed in writing.
4. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. We routinely sign NDAs upon request and treat all client information with strict discretion by default, regardless of whether a formal NDA is in place.
5. Payment Terms
Payment schedules will be outlined in individual project agreements. Unless otherwise specified, invoices are due within 14 days of issue. Late payments may incur interest charges as permitted by applicable law. Work may be paused on engagements where payment is significantly overdue.
6. Limitation of Liability
To the maximum extent permitted by law, Sediya Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability for any claim shall not exceed the fees paid by you for the specific service giving rise to the claim.
7. Warranties
We warrant that our services will be performed with reasonable care and skill. We do not guarantee that software will be entirely free of defects, but we commit to addressing material bugs identified within the warranty period specified in your project agreement.
8. Termination
Either party may terminate a project engagement with written notice as specified in the project agreement. Upon termination, the client will be invoiced for work completed to date. Sediya Labs will deliver all completed work product upon receipt of outstanding payment.
9. Governing Law
These terms are governed by the laws of the Republic of Ghana. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise agreed in a project-specific agreement.
