Terms & Conditions

1. Agreement to Terms

By accessing our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, you may not access our services.

2. Services

NexTech Solutions provides custom software development, consulting, and technology services as described in individual project proposals and statements of work.

3. Intellectual Property

Unless otherwise agreed in writing:

• Client retains ownership of all pre-existing intellectual property
• NexTech Solutions retains ownership of background IP used in project delivery
• Upon full payment, client receives ownership of custom-developed deliverables

4. Payment Terms

Payment is typically structured as follows: 30% upfront, 40% at project midpoint, and 30% upon completion. All invoices are due within 15 days of receipt.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received during the project engagement.

6. Limitation of Liability

NexTech Solutions' liability shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

7. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, client shall pay for all services rendered up to the termination date.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
